Terms of Use Agreement

Wolters Kluwer Financial Services. (“WKFS”) is offering this IRA Addendum to help you comply with the Health Opportunity Patient Empowerment (HOPE) Act of 2006. WKFS is offering you a limited license (“License”) to reproduce the IRA Addendum at no additional cost to you. Your use of the Addendum constitutes your agreement to all of the following terms and conditions:

1. The term of this License will commence on the date you first reproduce the Addendum and will expire on the date WKFS provides or publishes notice that the Addendum is obsolete or the day after the last day of any future amendment required to be provided by the IRS.
   
   
2. WKFS reserves the right to revoke this License at any time upon written (published) or oral notice to you. Upon receiving such notice, you agree to immediately cease using the Addendum that you have reproduced or caused to be reproduced.
   
   
3. You may reproduce, or have a third party reproduce for you, the Addendum for your internal use only and for no other purpose. Without limiting the generality of the foregoing, you may not sell, rent, lease, transfer, sublicense or assign the Addendum, any copy thereof or this License, or allow any third party to reproduce the Addendum for any purpose other than as described herein. The reproduced Addendum may only be used in transactions that are documented.
   
   
4. You agree to include WKFS’s copyright and trademark notices clearly and conspicuously on all copies of the Addendum that you reproduce or have reproduced for you, exactly as such notices appear on the original items being reproduced. You acknowledge that WKFS is the owner of the worldwide copyrights in the Addendum, and any other intellectual property rights, which may exist for the Addendum.
   
   
5. The terms and conditions contained in this License are in addition to and not in lieu of any other terms or conditions that apply to your use of WKFS forms and other materials or services that are licensed or purchased by you from WKFS. All rights in the Addendum which are not expressly granted to you in this License are reserved by WKFS.
   
   
6. This License is governed by the laws of the State of Minnesota, U.S.A. You hereby consent to the exclusive jurisdiction and venue of the courts located in the State of Minnesota in all disputes arising out of or relating to the use of the Addendum.
